Version 1.0 — Effective Date: [EFFECTIVE DATE]
Power Partner Group Inc., operating publicly as Power Partner (“we”, “us”, “our”), is a corporation incorporated under the laws of Ontario, Canada. These Terms of Service (“Terms”) are a legal agreement between you and Power Partner. They govern your use of the website at PowerPartner.ca (the “Site”) and our online property and electrical-panel assessment tool (the “Tool”), together the “Services.”
What Power Partner does. We coordinate and manage residential EV charger installations and related electrical service upgrades. The physical installation work is performed by independent, licensed electrical contractors who obtain and hold all required Electrical Safety Authority (ESA) permits. Power Partner is not the electrical contractor of record and does not itself perform electrical work.
These Terms cover the Site and the Tool only. If you purchase an installation, that purchase is governed by a separate written agreement — the Conditional Pricing Acknowledgment (“Installation Agreement”) — which you sign, and by any agreement you have with the automotive dealership through which you purchased. These Terms do not govern the price, scope, scheduling, cancellation, or warranty of any installation; those are set by your Installation Agreement. If these Terms and your Installation Agreement conflict on anything concerning the installation itself, your Installation Agreement controls.
By accessing the Site or using the Tool, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
You may use the Services only if you are at least eighteen (18) years old and able to enter into a binding contract. If you submit property information or photographs through the Tool, you represent that you own or occupy the property, or that you are authorized by the owner or occupant to submit that information for the purpose of arranging an installation.
The Tool is a self-serve intake feature that collects information about your property — including photographs of your electrical panel and, where applicable, your electricity usage data — so that we can assess installation feasibility and determine scope. The Tool exists to gather information for our review. It is a data-collection step only.
The Tool does not: display or calculate a price; approve or confirm your eligibility; guarantee that an installation can be performed at your property; or create, constitute, or form any offer, contract, or commitment of any kind. No agreement to perform an installation exists unless and until you sign an Installation Agreement stating a confirmed price. Submitting information through the Tool does not obligate you to purchase anything and does not obligate Power Partner to perform any work.
If we send you a link to complete an assessment, that link is personal to you and tied to a specific property and a specific pending installation. The link is valid only for the period stated in the communication that delivers it or in your Installation Agreement, and it expires at the end of that period. We use a single expiry period across your Installation Agreement, the Tool, and any communication we send you; where they refer to the same assessment, they refer to the same expiry. An expired link may be reissued at our discretion, but reissuance is not guaranteed. We are not responsible for a scheduling delay or cancellation caused by an expired or unused link.
Our assessment relies on the information and photographs you provide. You are responsible for the accuracy and completeness of what you submit. Inaccurate, incomplete, or misleading information may result in an inaccurate assessment, a delay, a change to scope or price at the site under the terms of your Installation Agreement, or cancellation. The Tool routes and prioritizes your file for human review; it does not make final feasibility or pricing decisions, which are made by Power Partner after review.
By using the Services or providing your contact information, you consent to receive electronic communications from us — by email, SMS/text message, and other electronic means — relating to your assessment, your installation, and your use of the Services. These are service and transactional communications necessary to coordinate your installation (for example, assessment reminders, status updates, and scheduling messages). Message and data rates may apply. You may opt out of non-essential messages at any time using the unsubscribe or stop mechanism provided; opting out of communications necessary to complete an active installation may prevent us from coordinating that installation. Our communications practices are further described in our Privacy Policy and are intended to comply with Canada’s Anti-Spam Legislation (CASL).
You also consent to transact and receive records and disclosures electronically in connection with the Services, to the extent permitted by applicable law. Nothing in this Section affects any separate signature or consent requirement that applies to your Installation Agreement.
You agree not to:
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any breach of this Section or where we reasonably believe your use poses a risk to the Services or to others.
You retain ownership of the photographs and property information you submit through the Tool (“Your Content”). By submitting Your Content, you grant Power Partner a non-exclusive, royalty-free licence to store, use, reproduce, and share Your Content solely to assess feasibility, coordinate and perform your installation (including sharing relevant results with the independent contractor assigned to your job), and as otherwise described in our Privacy Policy. We do not sell Your Content. Our handling of Your Content is governed by our Privacy Policy.
The Site, the Tool, and all software, design, text, graphics, and other materials that make them up are owned by Power Partner Group Inc. or our licensors and are protected by Canadian and international intellectual property law. We grant you a limited, personal, non-transferable, revocable licence to use the Services as intended, in connection with an actual or prospective installation for your own property. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Services, or reverse-engineer or attempt to extract the source code of the Tool, except to the extent applicable law prohibits that restriction.
The Services may reference or link to services we do not control — including your automotive dealership, your vehicle financing or lease provider, and your electric utility’s data portal (for example, a Green Button download). We are not responsible for the content, availability, terms, or privacy practices of any third-party service, and your use of any third-party service is governed by that third party’s own terms.
Our collection, use, and disclosure of personal information through the Services is governed by our Privacy Policy, available at charge.powerpartner.ca/privacy-policy, which is incorporated into these Terms by reference. The Privacy Policy explains, among other things, how we handle electrical-panel photographs and utility usage data, and how we limit the information shared with the independent contractor assigned to your job.
The Site and the Tool are provided “as is” and “as available,” without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any preliminary assessment produced through the Tool will prove accurate for every property. This Section applies only to the Site and the Tool. It does not affect, reduce, or disclaim the workmanship warranty or any other term set out in your Installation Agreement, which governs the installation itself.
To the maximum extent permitted by applicable law, Power Partner Group Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, revenue, or profits, arising out of or relating to your use of the Site or the Tool. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Site or the Tool is limited to one hundred dollars ($100) CAD.
This Section limits liability arising from the Site and the Tool only. It does not limit, and does not apply to, any liability, warranty, indemnity, or remedy arising under your Installation Agreement in respect of the installation itself, which is governed exclusively by that agreement. Nothing in this Section limits liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited or excluded under applicable law.
Nothing in these Terms operates to waive, limit, or exclude any right, remedy, warranty, guarantee, or protection you have under the Consumer Protection Act, 2002 (Ontario) or any other applicable consumer-protection or mandatory law, and nothing in these Terms requires you to waive any such right. Any provision of these Terms that would do so is, to that extent, of no effect. Where a provision of these Terms conflicts with a mandatory consumer-protection right you hold, that right prevails.
To the extent permitted by applicable law, and subject to Section 13, you agree to indemnify Power Partner Group Inc. against third-party claims, and against losses and reasonable costs, arising from (a) your use of the Services in violation of these Terms, (b) your submission of information or photographs relating to a property you had no right to submit, or (c) your infringement of a third party’s rights through your use of the Services. This Section is limited to the matters listed and does not apply to any claim arising from the installation itself, which is governed by your Installation Agreement.
We may suspend or terminate your access to the Services at any time as described in Section 6, or if we cease to offer the Services. You may stop using the Services at any time. Sections that by their nature should survive termination — including Sections 7 through 14, and 16 through 18 — survive.
We may update these Terms from time to time. The current version will always be posted at charge.powerpartner.ca/terms with its effective date. Changes take effect when posted, and your continued use of the Services after that constitutes acceptance. We will not apply a change retroactively to an active, in-progress installation in a way that reduces your rights under your Installation Agreement without your consent.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to any mandatory consumer-protection law that provides otherwise, you and Power Partner Group Inc. submit to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising out of or relating to these Terms, the Site, or the Tool.
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force, and the unenforceable provision is limited or severed to the minimum extent necessary. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and Power Partner regarding the Site and the Tool, and do not displace your Installation Agreement, which governs any installation.
Questions about these Terms can be sent to [email protected].
